Terms of Use
These Terms of Use ("Terms") govern your access to and use of the TrayBuddy mobile application, website, and related services (collectively, the "Service"). By downloading, accessing, or using TrayBuddy, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
These Terms form a legally binding agreement between you ("User", "you", "your") and TrayBuddy ("Company", "we", "us", "our"). You represent that you are at least 13 years of age (or the age of digital consent in your jurisdiction). If you are using the Service on behalf of an organization, you warrant that you have authority to bind that entity.
2. Description of Service
TrayBuddy is a smart tray & inventory management solution designed for restaurants, bars, cafes, and catering businesses. Features may include real-time tray tracking, inventory suggestions, order syncing, and operational analytics ("Service"). We reserve the right to modify or discontinue features with reasonable notice.
3. Account Registration & Security
- You must provide accurate, current, and complete information during registration.
- You are responsible for safeguarding your login credentials. Any activity under your account is your responsibility.
- Notify us immediately of any unauthorized use of your account at support@appstachio.com.
- We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.
4. User Conduct & Restrictions
You agree NOT to:
- Use TrayBuddy for any illegal purpose or in violation of any local, state, national, or international law.
- Reverse engineer, decompile, or attempt to extract the source code of our software.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload malicious code, viruses, or any material that could harm TrayBuddy’s infrastructure.
- Use automated scripts or bots to access the Service without our prior written consent.
- Impersonate another person or entity, or misrepresent your affiliation with a person or entity.
5. Subscription & Payments
Certain features of TrayBuddy require a paid subscription ("Paid Plan"). By subscribing, you agree to pay all applicable fees as described at the time of purchase.
- Billing: Fees are billed in advance on a monthly or annual basis, depending on your selected plan.
- Auto-renewal: Subscriptions automatically renew unless you cancel at least 24 hours before the renewal date.
- Refunds: Except as required by law, subscription fees are non-refundable. You may cancel anytime via your account settings.
- Price changes: We will notify you at least 30 days in advance of any price change affecting your plan.
*Free trial periods, if offered, are limited to one per user. We reserve the right to modify trial terms without prior notice.
6. Intellectual Property Rights
All rights, title, and interest in and to TrayBuddy (including the software, design, UI, graphics, algorithms, and content) are and will remain the exclusive property of TrayBuddy and its licensors. These Terms do not grant you any right, title, or interest in our trademarks, logos, or trade dress. Any feedback, comments, or suggestions you provide about TrayBuddy are entirely voluntary, and we may use such feedback without any obligation to you.
7. Data Privacy & Your Information
Your use of TrayBuddy is also governed by our Privacy Policy, which explains how we collect, use, and share your personal information. By using the Service, you consent to the data practices described in the Privacy Policy. We comply with applicable data protection laws, including GDPR and CCPA where required.
Key data points: location data (with permission), inventory logs, order history, team member activity. You own your business data.
8. Third-Party Integrations
TrayBuddy may integrate with third-party services (e.g., POS systems, payment gateways, accounting tools). We do not control those third-party services, and their terms apply to your use of their integrations. TrayBuddy is not responsible for any issues arising from third-party integrations.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAYBUDDY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE FULLEST EXTENT ALLOWED BY LAW, TRAYBUDDY AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you to the extent prohibited by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless TrayBuddy, its affiliates, and their respective employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Service.
12. Termination
We may suspend or terminate your access to TrayBuddy immediately, without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. If we terminate your account without cause, we will refund any prepaid fees prorated to the termination date. Sections regarding ownership, limitation of liability, indemnification, and dispute resolution shall survive termination.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of TrayBuddy shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, in Wilmington, Delaware. You agree to waive any right to participate in a class-action lawsuit or class-wide arbitration.
14. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice within the Service. Your continued use of TrayBuddy after the effective date of modified Terms constitutes your acceptance of the changes. The "Effective date" at the top of this page indicates when these Terms were last revised.
15. Miscellaneous
- Entire agreement: These Terms constitute the entire agreement between you and TrayBuddy regarding the Service.
- Severability: If any provision is found to be unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right or provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
